SEC Guidelines on the Filing of Reports and Other Documents during the COVID-19 Pandemic
Highlights for MSMEs:
1. SEC Memo Circular 5-2020 Deadline for 2019 Audited Financial Statements is June 30, 2020
2. SEC Memo Circular 9-2020 General Information Sheet (GIS) or Report of Non-holding of Election may be submitted through e-mail, mail and private courier.
A. If through email, within 30 calendar days from the actual meeting of shareholders/members.
B. For printed copies, submit within 30 calendar days from the lifting of ECQ
3. SEC Memo Circular 10-2020 Electronic Signatures may he used and reports may be submitted unnotarized.
4. SEC Memo Circular 7-2020 Reports may he submitted through registered or ordinary mail
5. For Non-stock, non-profit corporation, April 2 Notice extends the deadline of submission of printed copies of Mandatory Disclosure Form (MDF) to be submitted 15 days from the lifting of travel restrictions and other measures implemented to contain the COVID-19 pandemic.
6. General & Special Forms of FS (GFFS/SFFS)
Domestic Corporation with annual gross sales of At least Php 5 million shall file within 30 days from the last day of submission of AFS (30 days from June 30, 2020). If you will submit during the EQC period email to [email protected]
