The approval of the additional shares listing (Bonus Issue)
of Royal Group Phnom Penh SEZ Plc.

Following the disclosure announcement made to the CSX, PPSP would like to elaborate further to the potential public investors who may want to participate in this Bonus Issue.

As the name imply, the Bonus Issue is to reward the shareholders of PPSP with additional free shares in the ratio 1:1, i.e. for every one share held, the shareholder will be allotted with 1 additional free share.

In order for the Bonus Issue to be allotted to a shareholder, the shareholder’s name must be on the shareholders’ list on 28 July 2026 as announced.

For potential investors who wish to participate in the Bonus Issue, they must buy the shares during the “cum bonus” period from 20 July 2026 to 24 July 2026.

The existing shares will be traded “ex bonus” on 27 July 2026 and the share price will be adjusted to the theoretical ex bonus price (TEBP) based on the previous market day’s closing share price divided by 2 to account for the Bonus shares.

Shareholders who SELL the share(s) on 27 July 2026 are STILL entitled to get this shares.
Shareholders who BUY the share(s) on 27 July 2026 are NOT entitled to get this shares.

The actual share price traded “ex bonus” will depend on the market sentiment on the day and there is no certainty that the share price will go up.

The additional Bonus issue shares will be allotted to entitled shareholders on 3 August 2026 and the listing of these shares will be on 4 August 2026 which can then be traded from that date.

The Bonus shares will upon allotment and issuance rank pari passu in all respect with the existing shares.

2nd Quarterly HR/Admin Meeting of 2026 at Royal Group Phnom Penh Special Economic Zone

On 23 June 2026, the 2nd Quarterly HR/Admin Meeting was held at the Royal Group Phnom Penh Special Economic Zone (RGPPSEZ). The meeting was attended by 60 participants representing various factories within the zone.

The meeting covered several important topics aimed at enhancing workplace compliance, safety, and labor relations. Mr. Hem Chamnan of RGPPSEZ delivered a presentation on environmental, health, and safety (EHS) updates within the zone, highlighting ongoing initiatives and key developments. Participants were also reminded of the 2026 self-inspection process and the procedures for submitting reports through the Self-Inspection Compliance Management System (SICMS) by Mr. Orn Bunna of RGPPSEZ. In addition, H.E. Pol Chandara from the Ministry of Labor and Vocational Training (MLVT) conducted a session on labor disputes and labor arbitration. The presentation provided valuable insights into dispute resolution mechanisms and arbitration procedures, helping employers better understand their roles and responsibilities in maintaining harmonious labor relations.

This quarterly meeting provided a valuable platform for participants to stay informed about current labor-related issues. It also encouraged collaboration and knowledge sharing among factory representatives, contributing to stronger HR and administrative practices within the zone. The meeting was a resounding success, and we look forward to hosting similar events in the future.

Joint Venture Agreement Signed for Development of Kampong Thom Special Economic Zone

On 12 June 2026 in Osaka, Japan, Royal Group Phnom Penh SEZ Plc. signed a Joint Venture Agreement with the Kampong Thom Provincial Administration to establish the Kampong Thom Special Economic Zone (KTSEZ).

The project aims to develop a Farm-to-Factory Agro-Processing Zone that will promote import substitution and export-oriented industries by creating value-added agricultural supply chains. The initiative is expected to enhance rural industrialization, generate employment opportunities, and increase farmers' incomes through the development of agro-processing industries.

The development of the Kampong Thom Special Economic Zone is aligned with the vision of Samdech Moha Borvor Thipadei Hun Manet, Prime Minister of the Kingdom of Cambodia, and the Royal Government’s policies to promote agricultural modernization, industrial diversification, and balanced regional development. The project supports national efforts to strengthen Cambodia’s agro-industrial sector, create employment opportunities in rural areas, and enhance the competitiveness of Cambodian agricultural products in both domestic and international markets.

នៅថ្ងៃទី១២ ខែមិថុនា ឆ្នាំ២០២៦ នៅទីក្រុងអូសាកា ប្រទេសជប៉ុន ក្រុមហ៊ុន រ៉ូយ៉ាល់ គ្រុប ភ្នំពេញ អេសអ៊ីហ្សិត ម.ក បានចុះហត្ថលេខាលើកិច្ចព្រមព្រៀងបណ្តាក់ទុនរួមគ្នា (Joint Venture Agreement) ជាមួយរដ្ឋបាលខេត្តកំពង់ធំ ដើម្បីបង្កើត តំបន់សេដ្ឋកិច្ចពិសេសកំពង់ធំ (Kampong Thom Special Economic Zone – KTSEZ)។

Royal Group Phnom Penh SEZ Plc. Participated as a distinguished panelist in ESG Reporting Workshop

Phnom Penh, May 22, 2026 – Royal Group Phnom Penh SEZ Plc. (“PPSP”) was honored to participate as a panelist in the panel discussion workshop on the guideline on “Sustainability Disclosure” under the topic “Sharing Experiences in Preparing Sustainability Reports”, the event was presided over by H.E. Sou Socheat, Delegate of the Royal Government in charge as Director General of the SERC. The workshop brought together senior leadership and officials from the SERC, representatives from the Cambodia Securities Exchange (CSX), and direct participants from all the listed companies.

Representing PPSP, Mr. Wong Pang Nam, Chief Financial Officer, joined the panel discussion to share the company’s experiences and challenges in preparing ESG reports and implementing sustainability practices. During the session, the panelists exchanged views on crucial topics, including ESG governance structures, cross-functional coordination, regulatory alignment, disclosure readiness, and the operational impacts of reporting. The discussion also highlighted lessons learned throughout the ESG reporting process, offering valuable insights and practical guidance for listed companies in the early stages of sustainability implementation in Cambodia.

RGPPSEZ and RGKSEZ Record Strong Growth in Employment and Export Performance in Early 2026

Royal Group Phnom Penh SEZ Plc., the developer and operator of Royal Group Phnom Penh Special Economic Zone (“RGPPSEZ”) and Royal Group Kandal Special Economic Zone (“RGKSEZ”) continues to demonstrate strong growth momentum, contributing to Cambodia’s industrial development, employment creation, and export expansion.

As of April 2026, the total number of employees working within both RGPPSEZ and RGKSEZ reached 58,532, representing an increase of approximately 15.3% compared to 50,746 employees recorded in April 2025. The steady growth reflects continued investor confidence in Cambodia and the expanding operations of enterprises within the Special Economic Zones.

Export activities within the two zones also showed positive growth during the first four months of 2026. Total exports from January to April 2026 amounted to USD 809.02 million, compared to USD 579.88 million recorded during the same period in 2025, representing an increase of approximately 39.5%. The positive performance highlights the resilience and competitiveness of manufacturers operating within both SEZs, particularly amid ongoing regional and global economic challenges.

តំបន់សេដ្ឋកិច្ចពិសេស រ៉ូយ៉ាល់ គ្រុប ភ្នំពេញ និង រ៉ូយ៉ាល់ គ្រុប កណ្តាល កត់ត្រាកំណើនដ៏រឹងមាំលើឱកាសការងារ និងលទ្ធផលនាំចេញ ក្នុងដើមឆ្នាំ ២០២៦

ក្រុមហ៊ុន រ៉ូយ៉ាល់ គ្រុប ភ្នំពេញ អេសអ៊ីហ្សិត ម.ក ដែលជាអ្នកអភិវឌ្ឍ និងប្រតិបត្តិករនៃតំបន់សេដ្ឋកិច្ចពិសេស រ៉ូយ៉ាល់ គ្រុប ភ្នំពេញ («RGPPSEZ») និងតំបន់សេដ្ឋកិច្ចពិសេស រ៉ូយ៉ាល់ គ្រុប កណ្តាល («RGKSEZ») នៅតែបន្តបង្ហាញពី សន្ទុះកំណើន ដ៏ខ្លាំងក្លា ដោយបានរួមចំណែកដល់ការអភិវឌ្ឍវិស័យឧស្សាហកម្ម ការបង្កើតការងារ និងបង្កើនការនាំចេញរបស់ប្រទេសកម្ពុជា។

គិតត្រឹមខែមេសា ឆ្នាំ២០២៦ ចំនួនបុគ្គលិកកម្មករសរុបដែលកំពុងបម្រើការងារនៅក្នុងតំបន់ទាំងពីរ RGPPSEZ និង RGKSEZ បានកើនឡើងដល់ ៥៨,៥៣២ នាក់ ដែលតំណាងឱ្យការកើនឡើងប្រមាណ ១៥.៣% បើធៀបនឹងចំនួនបុគ្គលិកកម្មករ ៥០,៧៤៦ នាក់ ដែលបានកត់ត្រាក្នុងខែមេសា ឆ្នាំ២០២៥ កន្លងទៅ។ កំណើនដ៏មានស្ថិរភាពនេះឆ្លុះបញ្ចាំងពី ទំនុកចិត្ត ឥតថមថយរបស់អ្នកវិនិយោគទាំងឡាយ មកលើប្រទេសកម្ពុជា និងការពង្រីកប្រតិបត្តិការនៃសហគ្រាសនានា នៅក្នុងតំបន់ សេដ្ឋកិច្ចពិសេសទាំងពីរនេះ។

សកម្មភាពនាំចេញពីក្នុងតំបន់សេដ្ឋកិច្ចពិសេសទាំងពីរ ក៏បានបង្ហាញពីកំណើនដ៏វិជ្ជមានផងដែរ ក្នុងរយៈពេល៤ខែ ដំបូង នៃឆ្នាំ២០២៦នេះ។ ការនាំចេញសរុបចាប់ពីខែមករា ដល់ខែមេសា ឆ្នាំ២០២៦ មានទំហំទឹកប្រាក់រហូតដល់ទៅ ៨០៩.០២ លានដុល្លារអាមេរិក កើនឡើងពីចំនួន ៥៧៩.៨៨ លានដុល្លារអាមេរិកដែលបានកត់ត្រាក្នុងរយៈពេលដូចគ្នាកាលពីឆ្នាំ២០២៥ ដែលតួលេខនេះ បង្ហាញពីកំណើនប្រមាណ ៣៩.៥%។ លទ្ធផលវិជ្ជមាននេះបង្ហាញពីភាពធន់ និងសមត្ថភាពប្រកួតប្រជែង របស់វិនិយោគិនអ្នកផលិត ដែលកំពុងដំណើរការនៅក្នុងតំបន់ទាំងពីរ ជាពិសេសចំពេលដែលមានការប្រឈមនឹងឧបសគ្គ នៃបញ្ហាសេដ្ឋកិច្ចក្នុងតំបន់ និងសកលលោកនាពេលបច្ចុប្បន្ន។

ថ្លែងចំពោះសមិទ្ធផលនេះ អ្នកឧកញ៉ា គិត ម៉េង ប្រធានក្រុមប្រឹក្សាភិបាលនៃក្រុមហ៊ុន រ៉ូយ៉ាល់ គ្រុប (Royal Group of Companies) និងក្រុមហ៊ុន រ៉ូយ៉ាល់ គ្រុប ភ្នំពេញ អេសអ៊ីហ្សិត ម.ក បានមានប្រសាសន៍ថា៖«កំណើនជាបន្តបន្ទាប់នៃតំបន់សេដ្ឋកិច្ចពិសេស រ៉ូយ៉ាល់ គ្រុប ភ្នំពេញ និង រ៉ូយ៉ាល់ គ្រុប កណ្តាល ឆ្លុះបញ្ចាំងពីទំនុកចិត្ត យ៉ាងមុតមាំរបស់វិនិយោគិន ចំពោះអនាគតសេដ្ឋកិច្ចរបស់កម្ពុជា និងការប្តេជ្ញាចិត្តរបស់ភាគីពាក់ព័ន្ធទាំងអស់ ក្នុងការធ្វើការ រួមគ្នា ដើម្បីពង្រឹងប្រព័ន្ធអេកូឡូស៊ីឧស្សាហកម្មរបស់ប្រទេស។ យើងខ្ញុំនៅតែបន្តប្តេជ្ញាចិត្តក្នុងការគាំទ្រដល់ការវិនិយោគ ប្រកប ដោយនិរន្តរភាព ការបង្កើតការងារ និងការអភិវឌ្ឍសេដ្ឋកិច្ចរយៈពេលវែងសម្រាប់ប្រទេសកម្ពុជា។»
